| Conflict of interests (including any competing business) | Mr Shen being the Executive Director, Group Co-founder and Co-CEO of ESR Group Limited ( "ESR") is responsible for overseeing ESR's overall operations and business development. Due to the above relationship, potential conflict of interest could arise if the Manager, E-LOG FM, on behalf of ESR-LOGOS REIT ("E-LOG"), enters into transactions with the Sponsor and/or its related or affiliated entities, if the transactions are beneficial to E-LOG and its Unitholders. For example, there could be future acquisitions or disposals of properties owned or managed by the Sponsor. Taking Mr Shen's roles into consideration, the Board of E-LOG FM has determined that Mr Shen will not be a member of the Audit, Risk Management and Compliance Committee ("ARCC") of E-LOG FM, which is responsible for assessment, evaluation and oversight of interested party transactions. He will also not be a member of the Transaction Review Committee, an ad-hoc board committee comprising only independent Directors, which will oversee any tender conducted by E-LOG FM on behalf of E-LOG in which an interested person/party could participate as bidder. As a Director of E-LOG FM, Mr Shen would be required to abide by E-LOG FM's Internal Policy on Conflict of Interest, as well as the Board's policy to address all potential conflicts of interest, under which he would be required to notify the Board as soon as he is aware of any matter in which he or his associate(s) have an interest, or any direct or indirect conflict of interest which may exist or might reasonably be thought to exist, and to recuse himself from all deliberations and discussions and abstain from voting in respect of any such matters. |

Mr Shen has been the Co-CEO of ESR since June 2011 and was also a Co-founder of e-Shang Cayman Limited. Mr Shen is responsible for overseeing ESR's overall operations and business development, leading regional growth strategies, and expanding ESR's asset and fund management platforms. Mr Shen has over 23 years of industrial real estate experience in China. Prior to co-founding ESR in June 2011, he was Senior Vice President at GLP Investment Management (China) Co. Ltd. (formerly Prologis China) from January 2004 to September 2010, overseeing the Eastern China area. Mr Shen was the deputy director of DTZ Debenham Tie Leung International Property Advisers from June 2001 to December 2003. Previously, he was the assistant general manager of marketing at Shanghai Waigaoqiao Free Trade Zone Xin Development Co., Ltd from July 1995 to November 2000. Mr Shen was also a director of E-LOG FM from January 2017 to January 2019 and is currently a director of ARA Trust Management (Suntec) Limited, manager of Suntec Real Estate Investment Trust. |
